Terms of Service

Please read these Terms of Service carefully before using VPS-Managed.com services. By ordering or using our services, you agree to be bound by these terms.

1. Agreement to Terms

By accessing or using VPS-Managed.com ("VPS-Managed," "we," "us," or "our") services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These Terms of Service apply to all visitors, users, and customers of VPS-Managed services, including but not limited to VPS hosting, dedicated servers, managed services, and related offerings.

2. Services Description

2.1 VPS & Dedicated Server Hosting

VPS-Managed provides virtual private server (VPS) and dedicated server hosting services with guaranteed resources including CPU, RAM, storage, and network bandwidth as specified in your service plan.

2.2 Managed Services

Managed VPS plans include:

  • 24/7 proactive server monitoring
  • Security hardening and updates
  • Software installation and configuration
  • Priority technical support
  • Daily external backups (where applicable)
  • Free cPanel/WHM license (where applicable)

2.3 Unmanaged Services

Unmanaged services provide you with root access and full control over your server. You are responsible for all server administration, security, updates, and maintenance. VPS-Managed provides hardware maintenance and network connectivity only.

3. Service Level Agreement (SLA)

3.1 Uptime Guarantee

VPS-Managed guarantees 99.9% network uptime per calendar month. Network uptime is measured by external monitoring systems and excludes scheduled maintenance windows.

3.2 Service Credits

If we fail to meet the 99.9% uptime guarantee, you will receive a service credit equal to 10x the actual downtime. For example, 1 hour of downtime equals 10 hours of service credit. Credits must be claimed within 10 days of the incident by opening a support ticket.

3.3 Scheduled Maintenance

We may perform scheduled maintenance with advance notice. Emergency maintenance may be performed without notice when necessary to maintain security or service integrity.

4. Acceptable Use Policy

You agree NOT to use VPS-Managed services for:

  • Illegal Activities: Any activity that violates Italian, EU, or international laws
  • Spam: Sending unsolicited bulk email or operating open mail relays
  • Malware: Hosting, distributing, or facilitating malicious software
  • Network Attacks: Port scanning, DDoS attacks, or attempting to breach security
  • Copyright Infringement: Hosting pirated content or violating intellectual property rights
  • Adult Content: Pornographic or sexually explicit material
  • Resource Abuse: Excessive CPU, RAM, or bandwidth usage that affects other users
  • Proxy Services: Public proxy, VPN, or TOR exit nodes without prior approval
  • Cryptocurrency Mining: Mining cryptocurrencies without explicit written permission

4.1 Violation Consequences

Violation of the Acceptable Use Policy may result in immediate service suspension or termination without refund. We reserve the right to report illegal activities to appropriate authorities.

5. Payment Terms

5.1 Billing Cycles

Services are billed based on your selected billing cycle: monthly, quarterly, semi-annually, or annually. Payment is due at the beginning of each billing period.

5.2 Payment Methods

We accept credit cards, PayPal, and bank transfers. All prices are in Euros (EUR) and exclude applicable taxes.

5.3 Late Payment

Failure to pay by the due date will result in service suspension. Services remain suspended for 10 days, after which they will be terminated and all data permanently deleted.

5.4 Refunds

5-Day Money-Back Guarantee: New customers may request a full refund within 5 days of service activation. Domain registrations and SSL certificates are non-refundable. The guarantee applies only to your first order with VPS-Managed.

6. Data Backup & Security

6.1 Customer Responsibility

You are solely responsible for backing up your data. While Managed VPS plans include daily external backups, these are provided as a courtesy and are not guaranteed. We are not liable for any data loss.

6.2 Security

For Managed services, we implement security hardening, firewall configuration, and regular security updates. For Unmanaged services, you are responsible for all security measures.

6.3 Root Access

If you have root access to your server, you accept full responsibility for any security vulnerabilities, data breaches, or unauthorized access resulting from your configuration or negligence.

7. Term & Termination

7.1 Service Term

Services continue for the duration of your billing cycle and automatically renew unless cancelled at least 30 days before renewal.

7.2 Cancellation

You may cancel services at any time by submitting a cancellation request through your client area. Cancellations must be submitted at least 30 days before your next billing date. No refunds are provided for partial billing periods.

7.3 Immediate Termination

We reserve the right to immediately suspend or terminate services without refund if you:

  • Violate these Terms of Service or Acceptable Use Policy
  • Fail to pay outstanding invoices
  • Engage in fraudulent activity
  • Cause harm to our infrastructure or other customers
  • Provide false information during registration

8. Limitation of Liability

VPS-Managed shall not be liable for:

  • Any indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions caused by circumstances beyond our control (force majeure)
  • Data loss, regardless of cause
  • Actions taken by third-party service providers
  • Security breaches resulting from customer actions or negligence

Our maximum liability for any claim arising from our services is limited to the amount you paid for the affected service in the 12 months preceding the claim.

9. Privacy & Data Protection

9.1 GDPR Compliance

VPS-Managed complies with the General Data Protection Regulation (GDPR) and applicable Italian data protection laws. We collect and process personal data only as necessary to provide our services.

9.2 Data Processing

Your personal data is used for:

  • Account management and service delivery
  • Billing and payment processing
  • Technical support and customer service
  • Service notifications and updates
  • Legal compliance and fraud prevention

9.3 Your Rights

You have the right to access, correct, delete, or export your personal data. Contact us at privacy@vps-managed.com to exercise these rights.

10. Intellectual Property

All VPS-Managed software, documentation, trademarks, logos, and proprietary technology remain our exclusive property. You are granted a limited, non-exclusive, non-transferable license to use our services for their intended purpose only.

You retain all rights to content you upload or create on our servers, provided it does not violate our Acceptable Use Policy or any applicable laws.

11. Support Services

11.1 Standard Support

All customers receive 24/7 ticket-based support with response times within 4 hours for non-urgent issues.

11.2 Priority Support

Managed VPS customers receive priority support with response times under 30 minutes for urgent issues, proactive monitoring, and dedicated system administration.

11.3 Support Scope

Support covers server administration, infrastructure issues, and service-related problems. We do not provide support for third-party applications, custom code, or website content management unless explicitly included in your managed services package.

12. Modifications to Terms

VPS-Managed reserves the right to modify these Terms of Service at any time. We will notify customers of significant changes via email or client area announcements. Continued use of our services after modifications constitutes acceptance of the updated terms.

Existing contracts will honor the terms in effect at the time of purchase until the next renewal date, at which point new terms apply.

13. Governing Law & Jurisdiction

These Terms of Service are governed by the laws of Italy. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts of Rome, Italy.

For EU consumers, this does not affect your statutory rights under EU consumer protection regulations.
